Every Direct DD matter ships with the same package. Same shape, same standard, every time. The depth and length scale with the data room. The structure does not.

  1. Risk report The lead document. A structured, indexed report of issues found in the data room, graded by risk and cross-referenced to source documents. Citations and provenance throughout. Written to be sent under cover note to your client.
  2. File index Every document in the data room, classified, tagged and cross-referenced. Searchable and machine-readable. Used by your team to navigate the data room and by us to support the risk report.
  3. Outstanding items tracker The list of items the data room does not answer — missing documents, unanswered representations, gaps in the disclosure. A working tracker your team takes into the next round of the transaction.
  4. Red flag review Optional add-on Full red flag review across the key contracts, integrated with the wider DD. Usually requested where the deal turns on a small number of central contracts.
