Silva AI Direct

Due diligence.
Red flag review.
Lawyer-accountable.

We take on the senior review work directly — on your matter, against your data room, using our AI methodology. A qualified lawyer signs off every deliverable before it ships.

Same methodology.
Two entry points.

Direct runs two lead services. Both use the same gated, evidence-disciplined process. Both are scoped in advance and fixed-fee where the scope is clear.

Service 01  ·  The lead

Due diligence

Full DD on a data room. From a clean 500-document transaction to a multi-jurisdiction deal. The package is fixed; the depth scales with the matter.

  1. Risk report — issues graded by risk, cited to source documents
  2. File index — every document classified, tagged and cross-referenced
  3. Outstanding items tracker — missing documents, gaps in disclosure
  4. Red flag review — optional add-on across key contracts
From £7,500 + £1,500 setup

Matter fee scoped against document count. Modifiers for jurisdictional spread and timeline. All figures + VAT.

Service 02  ·  The way in

Red flag review

From a single NDA to a complex commercial agreement. The cleanest way to test the methodology and the working relationship before committing to a larger DD.

  1. Red flag issues identified and graded by risk
  2. Key clauses flagged — liability, termination, assignment, IP
  3. Missing provisions noted — what should be there and is not
  4. Written to be read by your client, not just by lawyers
From £150 per contract

NDA from £150. Standard commercial contract from £350. Length and addenda scale the fee. No setup fee. Same-day turnaround available.

Methodology.
Not magic.

Every Direct matter runs the same shape. Four gates. Qualified lawyer accountable at the end. The methodology is what makes the output defensible.

Gate 01

Checks before action

The AI Use Protocol is signed, scope is agreed, and the data room is reviewed before any skill runs. No work starts until the basis is clear and documented.

Gate 02

Model selection per task

The right model for the right work. Top tier for judgment and drafting, cheaper tiers for bulk processing and classification. Choices recorded. Downgrades flagged.

Gate 03

Evidence discipline

Disclosure versus response. Filing versus content. Versioned change logs. Citations and provenance throughout — every finding traceable to its source document.

Gate 04

Verification before delivery

AI re-reads its own work. A second pass through a different platform where available. A qualified lawyer signs off every deliverable before it ships.

Four deliverables.
Every matter.

Every Direct DD matter ships with the same package. Same shape, same standard, every time. The depth and length scale with the data room. The structure does not.

An anonymised sample of the full package is available on request before you instruct.

  1. Risk report The lead document. A structured, indexed report of issues found in the data room, graded by risk and cross-referenced to source documents. Citations and provenance throughout. Written to be sent under cover note to your client.
  2. File index Every document in the data room, classified, tagged and cross-referenced. Searchable and machine-readable. Used by your team to navigate the data room and by us to support the risk report.
  3. Outstanding items tracker The list of items the data room does not answer — missing documents, unanswered representations, gaps in the disclosure. A working tracker your team takes into the next round of the transaction.
  4. Red flag review Optional add-on Full red flag review across the key contracts, integrated with the wider DD. Usually requested where the deal turns on a small number of central contracts.

5–7 working days

5–7 days

From data room access to full DD deliverables for a clean 500-document matter. First contact to signed Protocol: typically within one working day.

Not sure if Direct is right for this matter? A single-contract red flag review — from £150 — is the cleanest way to test the methodology before a larger instruction.

500 documents.
All four deliverables.

A UK transactional matter. A 500-document data room. Another firm had quoted a multiple of our fee for the same scope of work. We were instructed to deliver the full DD package against our methodology.

The data room was reviewed against the full methodology — risk-graded, indexed, cross-referenced. All four deliverables produced. Total run time around seven hours.

The review surfaced material gapping issues in the target. On the strength of the report, the client decided not to proceed. The work is paid to find what matters, and it did.

4
